Terms & Conditions

These terms govern your use of JAYAZA as a customer, seller, wholesale buyer, delivery partner or affiliate. By using the platform you agree to them.

Last updated: 24 August 2026

Template pending legal review. This policy is a working draft for launch preparation. Every field shown in [BRACKETS] must be completed, and the whole document reviewed by a qualified Bangladeshi legal advisor, before it is relied upon.

1. About these terms

JAYAZA is operated by [REGISTERED COMPANY NAME], trade licence [TRADE LICENCE NUMBER], of [FULL REGISTERED ADDRESS], Bangladesh. These terms form a binding agreement between you and us. If you do not accept them, please do not use the platform.

2. JAYAZA is a marketplace

JAYAZA connects buyers with independent verified sellers. Unless a listing states that JAYAZA is the seller, the contract of sale for a product is between you and the seller who listed it. We verify sellers before they can trade, and we operate the order, payment and delivery infrastructure around that sale.

3. Your account

  • You must be at least 18 and able to enter a binding contract.
  • Registration requires a Bangladeshi mobile number, verified by one-time password.
  • You are responsible for activity on your account and for keeping your credentials secure.
  • Give accurate information. We may suspend accounts that use false details.
  • One person should not operate multiple accounts to abuse promotions or referrals.

4. Orders and pricing

Placing an order is an offer to buy. The contract forms when we confirm the order. All prices are in Bangladeshi Taka and include VAT where applicable.

  • Prices, delivery charges and availability are confirmed at checkout and calculated on our servers at the moment you order.
  • Wholesale pricing applies only where a listing offers it and your quantity meets the stated minimum order quantity.
  • If an item is mispriced or out of stock after you order, we will contact you and offer a correction or a full refund.
  • We may cancel orders where we reasonably suspect fraud or abuse.

5. Payment

We accept bKash, Nagad, Rocket, cards, internet banking and cash on delivery. Online payments are handled by our payment partner; we never see or store your full card details or wallet PIN. Cash on delivery may be unavailable for some items, locations or order values.

6. Delivery

Delivery timelines and charges are set out in the Delivery Policy. Estimates are not guarantees, and delivery may be affected by weather, strikes, public holidays or other events beyond our control.

7. Returns and refunds

Returns are governed by the Return & Refund Policy, which forms part of these terms.

8. Sellers and wholesale buyers

  • Selling requires an approved application with valid NID and trade licence, and TIN where applicable.
  • You are responsible for the accuracy of your listings, the legality and safety of your products, your stock levels, and your tax obligations.
  • Counterfeit, prohibited, unsafe and restricted goods are not permitted; listing them will result in removal and may end your account.
  • JAYAZA deducts a commission from each sale at the rate shown in your dashboard. Settlement terms are as separately agreed.
  • Wholesale buyer access requires an approved application and is intended for genuine business purchasing.

9. Delivery partners

Riders must hold an approved application and, where the vehicle requires it, a valid driving licence and registration. Riders are responsible for the safe handling of parcels in their possession and for depositing collected cash on delivery amounts in line with the agreed process.

10. Affiliates

  • Affiliate participation requires an approved application.
  • Commission is earned on qualifying orders attributed to your referral link, at the rate shown in your dashboard.
  • Self-referrals, cookie stuffing, paid search on our brand terms, spam, and misleading claims about JAYAZA are prohibited.
  • Commission on a cancelled, unpaid or returned order is reversed.
  • We may withhold commission we reasonably believe was earned through prohibited activity.

11. Acceptable use

Do not misuse the platform: no attempts to gain unauthorised access, no scraping or automated bulk access, no interference with the service, no uploading of malware, and no unlawful, abusive or infringing content.

12. Intellectual property

The JAYAZA name, logo, design and software are ours. Content you upload remains yours, but you grant us a licence to host and display it for the purpose of operating the platform.

13. Liability

We provide the platform with reasonable care and skill, but do not warrant that it will be uninterrupted or error-free. To the extent permitted by law, our total liability arising from any order is limited to the amount you paid for that order. Nothing here excludes liability that cannot be excluded by law, including your rights under the Consumer Rights Protection Act, 2009.

14. Suspension and termination

You may close your account at any time. We may suspend or close an account that breaches these terms, on notice where practical and immediately where the breach is serious. Obligations relating to completed orders survive closure.

15. Governing law and disputes

These terms are governed by the laws of Bangladesh, and the courts of [CITY], Bangladesh have jurisdiction. We ask that you first raise any dispute with us through the Contact & Complaints page so we can try to resolve it directly.

16. Changes

We may update these terms. The revision date above shows the current version, and continuing to use JAYAZA after a change means you accept the updated terms.
